Minutes will become more important as Low Caliber transitions into a nonprofit corporation; this from California Corporations Code §9510:

(a) Each corporation shall keep:
(1) Adequate and correct books and records of account.
(2) Minutes of the proceedings of its members, board and
committees of the board.
(3) A record of its members giving their names and addresses and
the class of membership held by each.

Minutes should be used for official, public actions of the Club; deliberation leading up to public actions, however, should be confidential and is properly material for the Red Carpet.  Comments Michael L. Wyland:

“The board speaks with one public voice, regardless of their private disagreements and differences. The board minutes should reflect the actions taken in that public voice, and should be open for inspection.”

In that sense, discussion on Minorships may well be material for Red Carpet; its anouncement, however, Minutes.

So what benifits to we get being a nonprofit org. instead of just another internet "clan thing"?

We get the government's evil eye on us and I think we get to pay taxes. Yay! Lucky us...

Still, if Unter didn't register us as a non-profit organization, we could be in trouble, because we do have money, however little.

It's partially a matter of legitimacy; and more practically, Members' donations are 20-50% tax deductable.  We can also apply for government grants unavailable to for-profit corporations, and receive tax exemption on our investments.

Anthony Mancuso considered a corporation to be a kind of collective person:

“This legal person is, in a sense, immortal, as the nonprofit corporation continues to exist as a legal entity despite changes in management or other corporate personnel caused by the resignation, removal or death of the people assocaited with it.”

In a nutshell, it secures the future of the Club; and provides a platform for its current well-being.

especially after yesterday's discussion, i have been reading the 'non-profit' site avidly; yet occasionally feel like only touching the tip of an iceberg.
enlighten me on what's next, on vent next time, yea?
